These Terms & Conditions (“Terms”) govern your access to and use of the Diagnobot website and related marketing pages (collectively, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
If you enter into a separate written agreement with us for software, services, or a pilot (an “Enterprise Agreement”), that agreement controls for the subject matter it covers, and these Terms apply only to the extent they do not conflict.
1. Eligibility and acceptable use
You may use the Site only in compliance with applicable law and these Terms. You agree not to:
- Use the Site in any way that could disable, overburden, damage, or impair it or interfere with others’ use;
- Attempt to gain unauthorized access to systems, accounts, or data;
- Use automated means (such as scraping or bots) without our prior written consent, except standard search engine indexing as permitted by robots configuration;
- Upload or transmit malware, unlawful content, or content that infringes others’ rights; or
- Misrepresent your identity or affiliation.
2. Not medical advice
Content on the Site—including descriptions of AI interpretation, wellness scores, templates, and examples—is for general information and marketing purposes only. It does not constitute medical advice, diagnosis, or treatment. Clinical decisions must be made by qualified professionals based on the full clinical context and applicable standards of care. Never disregard professional medical advice or delay seeking it because of something you read on the Site.
3. No guarantee of results
We describe capabilities and intended benefits of Diagnobot in a general way. Actual performance depends on data quality, configuration, integration environment, regulatory constraints, and other factors. We do not warrant specific outcomes, accuracy of any particular output, or fitness for your specific use case except as expressly stated in a signed Enterprise Agreement.
4. Intellectual property
The Site, Diagnobot name and branding, text, graphics, logos, layouts, and software are owned by us or our licensors and are protected by intellectual property laws. Except for temporary copies needed to browse the Site, you may not copy, modify, distribute, sell, or create derivative works without our prior written permission.
5. Third-party links
The Site may contain links to third-party websites or services. We are not responsible for their content, policies, or practices. Your use of third-party sites is at your own risk.
6. Disclaimers
To the fullest extent permitted by law, the Site and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
7. Limitation of liability
To the fullest extent permitted by law, neither Diagnobot nor its affiliates, officers, directors, employees, or suppliers will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages.
Our aggregate liability for any claim arising out of or relating to the Site or these Terms (in the absence of a separate Enterprise Agreement) shall not exceed the greater of (a) one hundred U.S. dollars (USD $100) or (b) the amount you paid us specifically for access to the Site in the twelve (12) months preceding the claim, if any.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.
8. Indemnity
You will defend, indemnify, and hold harmless Diagnobot and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site, violation of these Terms, or violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.
9. Privacy
Your use of the Site is also governed by our Privacy Policy, which explains how we collect and use personal information.
10. Changes
We may modify these Terms at any time by posting an updated version on the Site and updating the “Last updated” date. Your continued use after changes become effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Site.
11. Suspension and termination
We may suspend or terminate access to the Site at any time, with or without notice, for conduct that we reasonably believe violates these Terms or creates risk or legal exposure.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-law rules, unless a mandatory law of your jurisdiction provides otherwise. Courts located in Delaware shall have exclusive jurisdiction over disputes arising from these Terms or the Site, subject to any mandatory venue rules where you reside as a consumer.
13. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and us regarding the Site (absent an Enterprise Agreement).
